DEFINITION OF TERMS

Tracking Centre Owner

A Tracking Centre Owner can be a natural person, corporation, authorized partnership, or other legal entity. Other than said natural person, all legal documents for said entity shall be produced. They shall either be attached to the application forms or submitted within 10 days to the company Headquarters. Thereafter, the acceptability of said applications shall rest within the sole discretion of the company. Failure to produce such may cause the applications to be rejected and the corresponding TCs cancelled. In the event of any changes of Directorships or Stockholders in said entities, further consent from the company shall apply. A TCO is not a salary paid employee of GOLDQUEST, but rather a natural person, who merely refers customers to GOLDQUEST, without any lawful form of control involved; and is also authorized to present our business concept and/or Purchaser Referral Compensation Plan.

Referrer or Referring TCO

A referrer or referring TCO is an individual who refers persons or entities to the GOLDQUEST customer referral programme, which involves the sale of products. Your referrer is responsible for forwarding to you a TCO Application and Agreement also referred to as "TCO-APP" and/or a Customer Retail Purchase Order form (also referred to as "CRPO") and providing you with teaching and training, or referring you to training conducted by knowledgeable TCOs. We do not recruit you, as you simply become a purchaser of our products and as such you may refer and train others to do the same.

Customer

A Customer is a natural person, corporation, authorized partnership, or any other legal entity, recognized in the country of enforcement, that purchases our products, who may or may not be a Tracking Centre Owner.

Retail Sale

A retail sale is the result of the business effort of a referral of a TCO, and such sale is concluded between GOLDQUEST and the referred customer at the GOLDQUEST Headquarters place of operation. To make a purchase one must complete a Customer Retail Purchase Order (CRPO) form and submit the appropriate amount as is listed on the CRPO form with the shipping charges applicable to the country of enforcement. The amount submitted may be either a "full" or a "partial" payment according to the choice made by the customer completing the CRPO form. The price of the "GOLDQUEST" product is comprised of the spot price of gold, plus the wholesale mark-up, plus the retail mark-up of the company; as listed on the company's CRPO form. Should the spot price of gold change, the company reserves the right to change either the price of each product or the amount of gold given for the purchase price. Such a change would be conducted after careful consideration and deliberation amongst the GOLDQUEST Board of Directors and the Advisory Board Council for and on behalf of the TCOs.

Primary Tracking Centre

The Primary Tracking Centre is the Tracking Centre (your - 001 centre) assigned to the first purchase of a customer who is also an approved TCO. All future referral business activities of the TCO (inclusive of additional purchases by the TCO of the Primary Tracking Centre) are to be conducted only under the structure of the Primary Tracking Centre, and must be conducted under the same name of your Primary Tracking Centre.

Initial Tracking Centre

The Initial Tracking Centre Structure shall be determined by the number of purchases made upon the filing of your very first CRPO form. Each purchase shall be limited to not more than 7 products in a single purchase, thus not exceeding a maximum allowable total initial placement of 7 TCs. The initial TC structure must also be clarified by the purchasing TCO via a drawing to accompany the original copies of the applications. Any further purchases made by the same purchaser or any entity, wherein it is proven that said purchaser is so connected, shall be subject to the entire satisfaction of the company. The advice of GOLDQUEST is to start your business with no more than 3 purchases (and thereby setting up 3 TCs). The purchaser, by herein implied consent, shall hold GOLDQUEST harmless, purchasing at his own risk, should he/she begin his/her business with more than 3 purchases (comprising of 3 TCs), because it is not sound practice from the point of view of networking principles to purchase more than three. Furthermore, it would not be in the best interest of the individual purchaser or the entire Network.

Unqualified Tracking Centre

An unqualified Tracking Centre (UTC) is a TC placed at the request of a qualified TCO that does not have an accompanying CRPO form and payment. At any one time the TCO is only allowed to have one UTC in his/her structure provided that the Primary TC is qualified before any other TCs or UTCs are placed thereunder. All UTCs shall naturally not earn commissions until qualified as herein defined.

A UTC shall hold its status as such for no more than 60 days from the date of filing unless duly qualified with a purchase as herein defined. Once the status is lost, in the case of said UTC being 001, said TC will be cancelled and removed from the tree. Should said TCO desire to re-enter the Network, he may do so only under the same referrer (in the same customer group) or wait 6 months for re-entry if re-entering under a different referrer.

In the case of said UTC being TC numbered 002 or higher, said TC shall be cancelled and removed from the tree and the respective downline moved up to the next valid TC or UTC. In the case of said TC having downlines in both customer groups (left and right) said UTC shall remain in its location in the tree and shall be cancelled with no chance of being revived.

Extension Numbers

Extension Numbers are number designations that identify any additional Tracking Centres you acquire by making multiple or additional purchases and are placed within your network structure. They are sequentially numbered: 001, 002, 003, etc.

Placements

Placement is the location of a new TCO in the network and shall be determined by the referring TCO. Placement of an additional TC by a TCO shall be determined only by the TCO making the purchase and must be made under the structure of said TCO's Primary (001) TC. Unless the referring TCO's placement instruction is honored by GQI, rearrangement of any initial or subsequent computer placement shall be prohibited.

In the case of where there are already other TCOs or TCs where a new TCO is requested to be placed by the referring TCO, said new TCO shall be transferred further downline in the same leg and on the same side of the last TC placement in that customer group.

The original referring TCO shall have the option of first right of refusal to purchase any existing TC offered for sale beneath him in his tree or Network.

Persons in the same household may have the same referring TCO and may also refer each other. This includes spouses and children. Any CRPO or TCO application by a minor (as per the local laws of your country of residence) must be signed as concurred by their parent or lawful guardian.

Flushing or Zeroing Out

Flushing describes the process whereby accumulated sales are brought to a zero count in the counter of a particular TC when the sales of the other or balancing customer group reaches a certain number of sales as described under the "Rules of Flushing".

Counter

A Counter is the section in the computer that accumulates all the sales in the structure below the TC. Each TC has two counters.

Flexible Tracking Centre

A Flexible Tracking Centre is a TC that can be inserted anywhere in a structure below the initial number one TC of the respective TCO who is placing the Flexible TC; such can be placed pursuant to the Rules of Flexible Placement.

Customer Response Team

The Customer Response Team (CRT) is a group of customer service professionals in the company trained to assist you regarding any challenges or obstructions preventing and impeding you as a TCO from successfully proceeding with your networking or business affairs.

The Company

Means GOLDQUEST International Ltd. registered at the British Virgin Islands and headquartered at Hong Kong.

Enforcement

Enforcement of these Policies and Procedures shall be at the court of competence nearest the TCOs address in the country where the said TCO affixed his/her authorized signature, or his/her company's authorized signature and address, on the application forms headed "Tracking Centre Owner Application Form" (TCO-APP) and/or Customer Retail Purchase Order Form" (CRPO).

Qualified Centre

A Qualified Tracking Centre is a TC, which is qualified by way of a purchase of product with a CRPO form submitted together with the payment. Only qualified TCs may earn referral commissions.
